1. Introduction

These Terms & Conditions ("Agreement") govern the relationship between GateVia Pay ("we," "our," or "us") and the Merchant ("you," "your") who uses our payment processing services. By accessing or using our services, you agree to be bound by these Terms.

2. Scope of Services

GateVia Pay provides secure payment processing solutions including but not limited to: local e-wallet payments (JazzCash, EasyPaisa, SadaPay, NayaPay), bank transfers, USDT settlements, and multi-currency transaction processing. Services include account setup, API integration support, fraud prevention tools, and real-time compliance monitoring.

3. Account Registration and Eligibility

To use our services, you must:

• Be a legally registered business entity in Pakistan or other approved jurisdiction
• Provide accurate and complete KYC/KYB documentation
• Have the legal authority to enter into this Agreement
• Not be located in or operate from restricted jurisdictions

We reserve the right to verify your information and reject any application at our sole discretion.

4. Merchant Responsibilities

As a Merchant, you agree to:

• Operate your business in compliance with all applicable laws and regulations
• Maintain accurate and up-to-date business information
• Not use our services for any illegal, fraudulent, or prohibited activities
• Notify GateVia Pay immediately of any changes in ownership, business structure, or contact information
• Be fully responsible for all transactions processed through your account
• Maintain clear and transparent refund and cancellation policies for your customers

GateVia Pay may suspend or terminate services immediately if we detect non-compliance, fraudulent activity, or regulatory concerns.

5. Prohibited Activities

The following activities are strictly prohibited:

• Money laundering, terrorist financing, or any financial crimes
• Processing transactions for businesses not disclosed during onboarding
• Unauthorized use of another party's identity or payment instruments
• Transactions involving illegal goods or services
• Chargeback abuse or friendly fraud
• Any activity that violates Pakistani or international laws

6. Fees and Settlements

All applicable fees, including transaction fees, processing fees, and any other charges, are detailed in your Merchant Agreement and are non-refundable. Settlement terms, including timing, currency options, and minimum payout thresholds, will be specified in your service agreement. We reserve the right to update our fee schedule with 30 days' notice.

7. Chargebacks and Disputes

Merchants are fully responsible for all chargebacks and disputes. In the event of a chargeback, the transaction amount plus any associated fees will be deducted from your settlement balance. Excessive chargebacks may result in increased fees, reserve requirements, or account termination. You agree to cooperate with us in responding to disputes and providing necessary documentation.

8. Data Protection and Privacy

GateVia Pay processes personal data in accordance with applicable data protection laws and our Privacy Policy. Both parties agree to maintain the confidentiality of all non-public information. We implement industry-standard security measures to protect your data, but you are responsible for maintaining the security of your account credentials.

9. Intellectual Property

All intellectual property rights related to the GateVia Pay platform, including trademarks, logos, software, and documentation, remain our sole property. You may not reproduce, modify, distribute, or create derivative works without our express written consent.

10. Limitation of Liability

To the maximum extent permitted by law, GateVia Pay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data, arising from your use of our services. Our total liability shall not exceed the total fees paid by you during the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold GateVia Pay harmless from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your breach of these Terms, your violation of any law, or your use of our services.

12. Termination

Either party may terminate this Agreement with 30 days' written notice. GateVia Pay may terminate immediately for cause, including but not limited to: breach of these Terms, fraudulent activity, excessive chargebacks, or regulatory requirements. Upon termination, all outstanding fees become immediately due, and we may withhold settlements for a reasonable period to cover potential chargebacks.

13. Governing Law and Disputes

This Agreement is governed by the laws of Pakistan. Any dispute arising from this Agreement shall be resolved through binding arbitration in accordance with Pakistani law. The arbitration shall be conducted in English in Islamabad, Pakistan. You waive any right to participate in class action lawsuits.

14. Amendments

GateVia Pay may update these Terms with 14 days' prior notice via email or website notification. Your continued use of our services after the effective date constitutes acceptance of the revised terms. If you do not agree to the changes, you may terminate your account before the effective date.

15. Entire Agreement

These Terms, together with any referenced policies and your Merchant Agreement, constitute the entire agreement between you and GateVia Pay regarding our services, superseding any prior agreements or understandings.
